These Terms of Service (“Terms”) govern your access to and use of the Guestly event-management platform (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 18 years old and legally capable of entering into a contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Your account
- Provide accurate, current information when creating an account, and keep it updated.
- Keep your password and any sign-in tokens confidential. You are responsible for activity on your account.
- Notify us promptly at hello@useguestly.com if you suspect unauthorized access.
Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk messages, spam, or content that violates applicable anti-spam or telecommunications laws.
- Upload or distribute content that is illegal, defamatory, harassing, infringing, or that contains malware.
- Impersonate another person or entity, or misrepresent the source of a message.
- Reverse engineer, scrape, or interfere with the Service’s infrastructure, security, or rate limits.
- Use the Service to collect personal information from guests for any purpose other than the event you are managing.
Your content
You retain ownership of the event details, guest lists, branding, and other content you upload (“Your Content”). You grant Guestly a worldwide, non-exclusive license to host, store, transmit, and display Your Content solely as needed to operate the Service for you.
You represent that you have the rights and consents necessary to upload Your Content to the Service, including permission from guests to send them invitations on your behalf.
Plans, billing, and refunds
Some features require a paid plan. By subscribing, you authorize us (or our payment processor) to charge the fees for your plan on a recurring basis until you cancel. Fees are non-refundable except where required by law.
Third-party services
The Service integrates with third parties (email and messaging providers, hosting infrastructure, payment processors). Their use is governed by their own terms; Guestly is not responsible for the acts or omissions of third parties.
Termination
You may close your account at any time from the settings page. We may suspend or terminate your account if you violate these Terms, if your use creates risk or legal exposure for Guestly, or if your account is inactive for an extended period. We will provide notice when practicable.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that messages will be delivered to every intended recipient.
Limitation of liability
To the fullest extent permitted by law, Guestly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our aggregate liability for any claim related to the Service will not exceed the greater of (a) the amount you paid Guestly in the twelve months before the claim, or (b) US$100.
Indemnification
You agree to defend, indemnify, and hold harmless Guestly from any claims, damages, and costs arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Changes
We may update these Terms from time to time. If the changes are material, we will notify you by email or through the Service before they take effect. Continued use after the effective date means you accept the updated Terms.
